1. PROMOTION PERIOD: The 1-800-Flowers.com® Summer of Smiles Sweepstakes ("Sweepstakes") begins at 12:00 AM ET on July 1, 2010 and ends at 11:59 PM ET on August 29, 2010 ("Promotion Period").

2. HOW TO ENTER: Visit www.1800flowers.com ("website") during the Promotion Period, click on the Sweepstakes link and fill out the required information, along with a short essay in which you nominate someone who you think deserves a smile and why (?Nominee?) in 100 words or less, to receive an entry into the Sweepstakes. Nominee must meet all eligibility criteria in order to be eligible. You may also submit with your entry, an optional photograph of the Nominee (he/she should be the only person depicted in the photo). To be eligible, the entry must meet the following parameters: 1) it must be complete and include an original essay of 100 words or less; 2) it must not have won any previous competitions; 3) if submitting a photographic image, it must be in color or black and white (jpeg or gif files) no larger than 500KB in file size; 4) if submitting a photographic image, it must be the property of the entrant, must be non-professional, you have the consent of the Nominee to use the photo and you may need a Release from the Nominee depicted (at Sponsor?s request); 5) if submitting a photographic image, it must be uploaded in accordance with the specifications set forth at the website. Entries will not be judged. Please note, you must notify the Nominee to let him/her know you are entering on his/her behalf, so that he/she may provide approval of entry and use of such photograph (if a photograph is submitted). By entering, you and the Nominee depicted in the photograph agree to waive any rights you or the Nominee may have to the photograph submitted, if applicable. For Week 1, entries must be received by 11:59 PM ET on Monday, July 5, 2010 to be entered into that week?s corresponding weekly random drawing only. For Week 2, entries are received from Tuesday, 7/6 at 12:00 AM ET through the following Sunday. For the remainder of the Promotion Period (Weeks 3 through 9), entries must be received from 12:00 AM ET on each Monday through 11:59 PM ET on each following Sunday, to be entered into that week?s corresponding weekly random drawing only. Weekly entries will only be entered into the corresponding week?s drawing (as applicable) and will not be entered into any subsequent weekly drawings. For purposes of this Promotion, a ?week? begins at 12:00 AM ET (Midnight) on each Monday and ends at 11:59 PM ET on each Sunday during the Promotion Period (except Week 1, which starts on Thursday, 7/1 at 12:00 AM ET and ends on Monday, 7/5 at 11:59 PM ET and Week 2, which starts on Tuesday, 7/6 at 12:00 AM ET and ends the following Sunday ). By entering, you understand that your entry will be posted to the website, in Sponsor?s sole discretion. Entrants and Nominees acknowledge and agree that their entries become the sole property of the Sponsor, who thereby has the right to publish, display, edit, adapt, modify, reproduce, promote and otherwise use entries in any way it sees fit. Entries must be keeping with Sponsor?s image and entries deemed lewd or inappropriate, in Sponsor?s sole discretion will be disqualified. By entering, you understand that the Sponsor also has the exclusive right to use the entries and excerpts of the entries (essays and/or photos) in any and all current or future types of media, advertising, promotional materials, publications (visual, sound, print and/or electronic form), including, but not limited to, posting entries on its website and non-affiliated websites. Please note that the Sponsor will not use the Nominee?s information for marketing purposes unless that Nominee is already a 1-800-FLOWERS.COM customer prior to the Sweepstakes entry or becomes a 1-800-FLOWERS.COM customer subsequent to the Sweepstakes entry. Use of computer programs and/or other automated devices to enter Sweepstakes is prohibited. Normal Internet access and usage charges imposed by your on-line service will apply. Limit one entry per person, per email address, per day.

3. PRIZES AND APPROXIMATE RETAIL VALUES ("ARV"): Grand Prize [Nine (9) One (1) per week, awarded to the Nominee depicted in the winning entry. Entrant will not receive a prize]: A Happy Day Bouquet (ARV: $34.99 each).

4. WINNER SELECTION: One (1) winning Nominee will be selected [Nine (9) in total] in separate random drawings on or about each Monday, beginning 7/12/2010 through 8/30/2010 (except for week 1, which will be on Tuesday, 7/6/2010), from among all eligible entries received during the week prior to each drawing. Drawings will be conducted by a representative of Don Jagoda Associates, Inc., whose decisions are final on all matters relating to this Sweepstakes. Odds of winning a prize are dependent upon the number of eligible entries received each week. Prizes will be awarded and potential winners will be notified by mail and/or e-mail. Prizes are nontransferable and no cash substitution is allowed except by the Sponsor, who reserves the right to award prizes of equal or greater value if advertised prizes are unavailable.

5. GENERAL RULES: Taxes, related to the prizes are the winners? sole responsibility, if applicable. Winners and corresponding entrants may be required to execute and return an address confirmation form within ten (10) days of notification attempt or prize will be forfeited and an alternate winner selected. Return of any prize or prize notification as undeliverable may result in disqualification and alternate selection. Acceptance of prize constitutes permission to use winner?s name, likeness, and biographical information for promotional purposes without further compensation except where prohibited by law. Entries will be declared to be made by the authorized account. Entries are subject to verification of eligibility and will be declared invalid if they are incomplete, falsified, altered or tampered with in any way. Sponsor reserves the right in its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or website; violates the OFFICIAL RULES; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Sponsor and its agencies are not responsible for lost, late, incomplete, misdirected or damaged entries due to technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic communications, whether caused by the sender, by any of the equipment or programming associated with or utilized in this Sweepstakes which may limit the ability to participate, or by any human error which may occur in the processing of the entries in this Sweepstakes. Sponsor reserves the right to cancel, terminate or modify the Sweepstakes if it is not capable of completion as planned, including for infection by computer virus, bugs, tampering, unauthorized intervention or technical failures or corruption of any sort, and award applicable weekly prizes from eligible entries received prior to cancellation. Void where prohibited or restricted by law.

6. ELIGIBILITY: This Sweepstakes is open only to legal residents of the 50 United States, including the District of Columbia, who are 18 years of age or older as of date of entry. Employees and families of 800-Flowers, Inc. ("Sponsor"), Don Jagoda Associates, Inc. (Adminstrator"), their subsidiaries, divisions, affiliates and related companies, advertising and promotion agencies, and their immediate families are ineligible. All federal, state, and local laws and regulations apply.

8. LIMITATION OF LIABILITY: NEITHER 800-FLOWERS INC., THEIR AGENTS, EMPLOYEES, PARENTS, SUBSIDIARIES, OR AFFILIATED COMPANIES, AS WELL AS, THEIR ADVERTISING AND PROMOTION AGENCIES SHALL HAVE ANY LIABILITY FOR ANY INDIRECT, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES INCLUDING, WITHOUT LIMITATION, LOSS OF OPPORTUNITY OR GOODWILL. IN ALL EVENTS, THE SOLE MAXIMUM LIABILITY OF SPONSOR AND ITS AFFILIATES SHALL BE LIMITED TO THE ARV OF THE PRIZES SET FORTH HEREIN.

9. GOVERNING LAW & VENUE: THE NEW YORK COURTS (STATE & FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE PROMOTION AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE SAME. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND HEREBY IRREVOCABLY SUBMITS TO THE VENUE OF THOSE COURTS WITHIN THE COUNTIES OF NASSAU AND SUFFOLK COUNTY, NEW YORK.
